PODCAST GUEST TERMS AND CONDITIONS
By checking the box and proceeding with participation in an interview for Gold Rush Development Academy (“GRDA”), the Guest (“You”) acknowledge and agree to the following terms and conditions:
1. GRANT OF RIGHTS
1.1. License to Use – You grant Gold Rush Development Academy, its affiliates, employees, contractors, licensees, successors, and assigns (“GRDA and its Representatives”) the irrevocable, perpetual, worldwide, royalty-free, and fully transferable right to record, use, reproduce, distribute, publicly display, perform, edit, adapt, modify, and create derivative works from your interview and any associated audio, video, images, likeness, voice, name, and biographical details in any format, for any purpose, and in any medium now known or later developed.
1.2. No Compensation – You acknowledge and agree that you are voluntarily participating in the interview without any expectation of compensation, monetary or otherwise, now or in the future. GRDA and its Representatives have no obligation to provide you with payment, royalties, or any other form of financial consideration for the use of the content.
1.3. Editing & Modification Rights – GRDA and its Representatives retain full discretion over how the content is edited, presented, marketed, and distributed. You waive any rights to inspect or approve the final content.
1.4. Sublicensing & Third-Party Use – GRDA and its Representatives may sublicense, sell, or otherwise transfer the rights granted herein to third parties, including but not limited to sponsors, affiliates, advertisers, media outlets, and other platforms, without restriction or further consent from you.
2. REPRESENTATIONS & WARRANTIES
2.1. Your Authority – You confirm that you are over 18 years of age and legally capable of entering into this Agreement.
2.2. No Confidentiality – You understand that your participation in the interview is not confidential and that the interview may be publicly shared, distributed, or monetized.
2.3. Waiver of Claims – You expressly waive and release GRDA and its Representatives from any claims related to defamation, misrepresentation, false light, right of publicity, right of privacy, or any other claims that may arise from the use, publication, or dissemination of the interview or its content.
2.4. Intellectual Property Assurance – You confirm that any statements, ideas, or materials shared during the interview do not infringe upon the rights of any third party, including copyrights, trademarks, trade secrets, or proprietary information.
3. LIMITATION OF LIABILITY & INDEMNIFICATION
3.1. No Liability – Under no circumstances shall GRDA and its Representatives be liable to you for any damages, losses, or liabilities arising from the use of the interview, whether direct, indirect, incidental, consequential, or otherwise.
3.2. Indemnification – You agree to indemnify, defend, and hold harmless GRDA and its Representatives from any claims, damages, losses, or legal actions brought by third parties due to your participation in the interview or statements made therein.
4. DISPUTE RESOLUTION & WAIVER OF LAWSUIT
4.1. Mediation Requirement – Any dispute arising under or in connection with this Agreement shall be resolved exclusively through mediation in the state of [Your State], with both parties agreeing to work in good faith to resolve disputes amicably.
4.2. No Lawsuits – You expressly waive the right to initiate or participate in any lawsuit against GRDA and its Representatives related to your interview. Any claims must be resolved solely through mediation, and if no resolution is reached, the decision shall be final and binding.
4.3. Class Action Waiver – You further waive the right to participate in any class action lawsuit or collective legal action against GRDA and its Representatives.
5. GENERAL PROVISIONS
5.1. Entire Binding Agreement – These Terms and Conditions constitute the entire agreement between you and GRDA regarding the interview and supersede any prior discussions or agreements. By checking the box, you confirm that this serves as your legally binding digital signature, and you waive the right to dispute its enforceability.
5.2. Severability – If any provision of this Agreement is found to be invalid or unenforceable, the remainder shall continue in full force and effect.
5.3. Governing Law – This Agreement shall be governed by and interpreted under the laws of the state of [Your State], without regard to conflict of law principles.
5.4. Acceptance of Terms – By checking the box and participating in the interview, you acknowledge that you have read, understood, and voluntarily agree to these Terms and Conditions, with full knowledge of the rights you are waiving.
